They don't know what they are doing

Correct resolution...

Note below item F.  This was the resolution adopted at the September 15, 2018 Boar meeting.
This was the right resolution to change the Bylaws to allow electronic voting.

At the October 20,2018 Board meeting, the Board adopted resolution #2018-10-01 to have a membership vote to amend the Articles allowing online voting. (this was the wrong resolution)

We know which one ended up on the Ballot.  
This is just one example that these people do not know what the hell they are doing. It is no wonder that the membership is confused. So is the Board.

The electronic voting measure was intended to be handled by the Tech Committee, who were trying to establish an unobtrusive online site that could remind owners of a few scheduled HOA matters of community importance during the year (such as the Annual Meeting, Budget Meeting, Special meeting Nov. 17th,... ) and conduct a limited survey 2 or 3 times a year.

Without an unbiased Committee in place to manage a neutral site, there really is no point in pursuing this electronic voting measure. Someone has to be in charge of monitoring a site that remains neutral, does not discriminate against owners who dislike HOAs, and does not get micro-managed by the Business Office OR Gary Williams.

It is reasonable to have oversight by the entire Board, but the Board has shown itself to be untrustworthy as a steward, allowing Mr. Williams to interfere wherever he chooses. Eliminating the Tech Comm. after about 3 months of work, was a vengeful act prompted by Williams, who can't seem to accept allowing a Board of 8 or 9 members to function without blatant interference and an insistence that he has authority to make any and all HOA decisions HIMSELF !

Our documents establish a Board of 3 to 9 members, all of equal authority working together. The Prez and Secretary have a few specific duties beyond the basic Trustee duties, but he has NO unilateral authority to make Surfside decisions without review by the entire Board.

That’s is why you hire a company to set-up and Run the site. Nominal fee, and impartial. It’s done every day.

It is quite obvious that neither the HOA nor a Committee would handle the technical aspects - but someone has to shop for a vendor, and someone has to promote participation in the program.

As I said, ideally, permission would be sought from owners to receive a minimum number of transmissions from a Tech Committee that would convey the basic information needed to vote electronically, send a few reminders of upcoming votes if necessary, and conduct a couple of opinion surveys which owners would have the option to pass on.

I think a committee is necessary to help make this successful, and this should be seen as an opportunity to offer owners an opportunity to weigh-in on a few Surfside issues by participating in a couple of short surveys annually. There are numerous other matters that could be dealt with at owner's request, such as billing information - but the goal as I see it, would be to keep it simple, establish a minimized format, and present it without bias or opinion pieces.

It would not be a "blog" and would not offer responses or debate issues. I think this is roughly what was envisioned by the dissolved Tech Comm..

The Articles do not provide a means of changing them, so we can only guess where the notion that THEY need to be changed has come from. The Articles defer to the Bylaws, stating that "Bylaws can be changed by a majority at any meeting where a quorum is present.' The Bylaws repeat this same requirement.

The only mention of a 2/3 vote is in the Bylaws, and refences intentions to "change the purpose of the HOA". We are not seeking to change the "purpose" of the HOA. Electronic voting would be available to those who want to participate, and paper ballots and proxies would still be available.

Providing for voting electronically would probably greatly reduce the number of proxies used, and increase the participation in elections significantly. It might take a year or so to catch on.

Maybe there's some confusion on the Board, as the sections in the Bylaws are listed as "Articles" - as there is no other apparent way in which this has been misunderstood by the Board of Trustees, who surely are all literate enough to READ the text in our documents. On the other hand, they are too lazy to read, or too lazy to stop this ridiculous vote to change the Articles - while no one has stated WHAT it is that needs to be changed.

The Board should have contacted an attorney on how to present this issue for a member vote. Every homeowners association has an article of incorporation and many have electronic voting. The information is out there and I agree this board is incompetent or lazy or both.

1:02...You have internet access no doubt. I suggest that you read through the Articles and identify what it is that needs to be changed in order to allow electronic voting. where does it say anything about a 2/3 vote ?

Both the Articles and Bylaws state the same thing - that the Bylaws (which deal with elections)can be changed at any meeting w/a quorum present, and a simple majority is enough to approve a change.

Attorneys are not magicians, and the information either IS or IS NOT in these 2 documents. What IS in these documents is what has just been described. Gary Williams does what he wants, and doesn't let a lack of documentation interfere in his mischief.

Solution for SHOA: Pink slips for office staff, abolish Lasar Gang, ban kirby from any/all committees in this HOA and send Czar Williams and his followers packing. Hire a competent GM and start fresh with transparency and electronic voting for members.

These are the motions that Deb Blagg presented at the annual meeting and we were all told that these motions would be on the special election ballot by Gary William's and the attorney for the HOA.

1) Amend Bylaws to allow electronic voting and to implement electronic voting prior to the 2019 Trustee election, and
2) Amend the Bylaws to give Members the right to recommend changes to the Bylaws and require Member approval of all changes to Articles, Bylaws, Covenants and other governing documents.

Some how someone rewrote her motion to fit there needs not the members.
